About these terms

These terms apply to the reporting dashboards that Jenny Moran Digital Ltd builds and hosts for its clients. In these terms, "we", "us" and "our" mean that company. "You" means the business that has asked us to provide a dashboard.

Jenny Moran Digital Ltd

Registered in England and Wales, company number 16295100

Registered office: The Accountancy Partnership, 70 Grange Road East, Wirral, CH41 5FE

Email: jenny@jennymorandigital.com

Our dashboards are provided to businesses only, and not to consumers. By asking us to build a dashboard, by paying for one or by using one, you agree to these terms. The person who agrees on your behalf confirms that they have the authority to do so.

These terms sit alongside whatever we have agreed with you in writing about price and scope, for example in an email or a quote. If anything in that written agreement conflicts with these terms, the written agreement takes priority.

02

What the dashboard service is

A dashboard is a private, password-protected web page that we design and build for your brand. It normally includes:

  • advertising performance data pulled in automatically from your ad platforms, usually once a day,
  • tables and charts showing how your campaigns and ad creatives are performing, and
  • written commentary and recommendations that are produced by AI and shaped by our paid media experience.

The exact features of your dashboard are the ones we agree with you in writing. We may improve or adjust how a dashboard works over time, as long as the change does not materially reduce what you are paying for.

03

What we need from you

  • You will give us the access to your ad accounts and other data sources that we need to build and run the dashboard.
  • You confirm that you have the right to give us that access and to share that data with us.
  • You will keep your dashboard password private and only share it with people in your business, or advisers working for you, who need to see the dashboard.
  • You will tell us promptly if you think your password has been shared with someone who should not have it, so that we can change it.

You are responsible for anything that is done by people who access the dashboard using your password.

04

Fees and payment

Your fees are the ones we agreed with you in writing. Prices are set for each client individually.

  • We will invoice you at the intervals we agreed with you.
  • Each invoice must be paid within 30 days of the invoice date.
  • All fees are stated without VAT. If VAT applies, it will be added at the current rate.
  • If we need to change your price, we will give you at least 30 days' written notice. You can cancel under the cancellation section below if you do not accept the change.

If an invoice is overdue, we may charge interest and recovery costs as allowed by the Late Payment of Commercial Debts (Interest) Act 1998. If an invoice is still unpaid 14 days after we send you a reminder, we may pause your access to the dashboard until it is paid.

05

Who owns what

We own the dashboard

Jenny Moran Digital Ltd owns the dashboard and everything that makes it work. This includes the design, layout, code, scripts, spreadsheet structures, AI prompts, methods and templates, even where they have been styled in your brand colours. Nothing in these terms transfers ownership of any of this to you.

While your fees are paid up to date, we give you permission to access and use your dashboard for your own internal business purposes. This permission is personal to your business. It cannot be passed to anyone else, and it ends when the service ends.

You must not copy, resell, reverse engineer or rebuild the dashboard, and you must not allow anyone else to do so.

You own your data

You own your advertising data, your ad creative and your brand assets. You give us permission to access, store and process them for as long as we need to in order to provide the dashboard. We will not publish your data or share it with other clients.

06

Data accuracy and AI commentary

The figures in your dashboard come from third-party platforms such as Meta and Google, and they pass through third-party data connectors on the way. This means figures can sometimes be delayed, incomplete or slightly different from what you see inside the platforms themselves. If you spot something that looks wrong, please tell us and we will look into it.

The written commentary is generated automatically by an AI model provided by Anthropic. To produce it, we send your advertising performance data to Anthropic. We do not send personal data about your customers.

AI commentary can contain mistakes. It is provided as guidance to support your own judgement. It is not professional, financial or legal advice, and it is not a promise or guarantee of any result. You remain responsible for the decisions you make about your advertising and for the money you spend on it.

07

Availability

We aim to have your dashboard updated each morning and available at all times. The dashboard depends on services that we do not control, including the ad platforms, data connectors, Google, our hosting provider and Anthropic. For that reason, we cannot promise that the dashboard will always be available, up to date or free from errors.

If something stops working, we will do what we reasonably can to fix it quickly. We may occasionally need to take a dashboard offline for a short time to carry out maintenance.

08

Confidentiality

Each of us will keep the other's confidential information private. We will only use it for the purpose of providing or receiving the dashboard service, and we will only share it with people who need it for that purpose. This applies to your performance data and business plans, and to our pricing, methods and dashboard workings.

This does not apply to information that is already public, or that one of us is required by law to disclose. These confidentiality duties continue after the service ends.

09

Data protection

Each of us will comply with UK data protection law. Dashboards are built around grouped advertising performance data and are not designed to hold personal data about your customers. Please do not send us customer personal data unless we have agreed this with you in writing first.

Our privacy policy explains how we handle the personal data of your team members, such as names and email addresses.

10

Our liability to you

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot legally be limited or excluded.

Apart from that:

  • we are not liable for loss of profit, loss of revenue, loss of business, wasted advertising spend, or any indirect or consequential loss,
  • we are not liable for decisions you make based on dashboard data or AI commentary,
  • we are not liable for problems caused by third-party platforms or services that we do not control, and
  • our total liability to you for all claims connected with the dashboard service is limited to the total fees you paid us for the dashboard in the 12 months before the claim arose.
11

Cancelling the service

Either of us can end the dashboard service by giving the other at least 30 days' written notice. Notice by email is fine. Your notice should be sent to jenny@jennymorandigital.com.

  • Fees remain payable up to the end of the notice period.
  • Your access to the dashboard will be switched off at the end of the notice period.
  • Your permission to use the dashboard ends at the same time. Because we own the dashboard, we do not hand over the dashboard files, code or scripts.
  • We will stop collecting your data, and we will delete the advertising data we hold for your dashboard within a reasonable time if you ask us to.
  • Your data inside your own ad accounts is not affected. You can remove our access to those accounts at any time.

Either of us can end the service immediately by written notice if the other seriously breaches these terms and does not put it right within 14 days of being asked to. We can also end the service immediately if an invoice is more than 30 days overdue.

12

Changes to these terms

We may update these terms from time to time. The date at the top of the page shows when they were last changed. If we make a significant change, we will give existing clients at least 30 days' notice by email. If you keep using the dashboard after that date, the updated terms will apply to you.

13

General

  • These terms, together with what we agreed with you in writing about price and scope, form the whole agreement between us about the dashboard service.
  • Neither of us is responsible for a delay or failure caused by events outside our reasonable control.
  • You may not transfer your rights under these terms to anyone else without our written agreement.
  • Nobody other than you and us has any right to enforce these terms.
  • If a court finds that part of these terms cannot be enforced, the rest will continue to apply.
  • If either of us delays in enforcing a right, that does not mean the right has been given up.
14

Governing law

These terms are governed by the law of England and Wales. Any dispute connected with them will be dealt with only by the courts of England and Wales.
